RED BIKE 
YOUR TERMS OF USE

Effective Date:  February 2022

Please carefully read these terms as they represent your agreement with us to rent and use our bikes. It is very important that you read these terms closely. We want you have a great experience using the bikes, but in exchange for us permitting you to rent and use our bikes, we have certain expectations for which you will abide. 

These terms are therefore the agreement (“Agreement”) between (a) “you” the person agreeing to rent and use our bike (“Bike”), and (b) Cincy Bike Share, Inc. (“Red Bike” or “we” or “us”).

Also, we state below that you must be at least 18 years to rent, use, and ride the Bike; therefore, if you are a parent or a guardian of an individual under 18 years old (a “Minor”) then you also need to carefully read Section 18 of this Agreement and by agreeing to these terms you are also agreeing to section 18.

So, here are the terms and what you agree to do or not do as a condition of renting and using the Bike:
1. Only you can rent, use, and ride the Bike. We are allowing you, and you only, to rent and ride the Bike. Don’t share or loan the Bike to anyone.     

We want to make this clear, that only you and Red Bike are the parties to this Agreement and therefore, you as the renter of the Bike are the only person agreeing to these terms in the Agreement. As result, you are responsible for compliance with this Agreement.

2. You must be at least 18 years old to rent a Bike and you must provide us with proper user information. Don’t lie or misrepresent who you are or your age. 

Keep in mind that if you provide us with misleading information, you and your family or guardians will still be fully responsible and liable for any consequence, claims, demands, causes of action, losses, liabilities, damages, injuries, costs and expenses, penalties, attorneys’ fees, judgments, suits, or disbursements of any kind or nature whatsoever related to any such lie or misrepresentation. This will be explained in more detail below.

3.  You represent to us that (a) can ride a bicycle, and (b) are also competent and physically fit to ride the Bike. You understand that Red Bike does not provide training regarding the use or operation of the Bike.

This is a good point in which to remind you that you are renting and riding the Bike at your own risk and peril and that you are voluntarily choosing to participate in the renting and riding of the Bike. Riding a Bike is a lot of fun, but it is also not without serious risks of injury to the body and may even cause death, so you are accepting these risks willingly and are aware of these risks and dangers. You must wear safety equipment, which means at least a helmet to ride a Bike. Your failure to wear safety equipment not only increases your potential risk for serious injury or death, it also places all liability and responsibility solely on you for any harm, injuries, claims, or damages. We are not responsible for your failures to take all appropriate safety measure – which means, in part, wearing safety equipment. 

4.  The Bike and all equipment associated with it belong to Red Bike or its licensors and you have no ownership interest in the Bike or any of its equipment. You will not make any changes or modifications to the Bike.  

5. While we wish the Bikes could be available 24/7 all year long, you know that we live in Ohio and Kentucky and that is not possible. Therefore, the Bikes are available, during the appropriate bicycle riding season, 7 days/week; however, the number of Bikes at any Bike station may be limited and there is never any guarantee as to Bike(s) availability. 

6. The maximum Bike rental time for all passes and memberships, except for Monthly Go Pass Members who pay with cash, is 8 consecutive hours. You agree to return the Bike to a designated Red Bike Station within 8 hours after your Bike rental began. You, of course, may then rent a Bike again for the appropriate price. 

The maximum Bike rental time for Go Monthly Members who pay with cash is 2 hours. Go Monthly members who pay with cash must return the Bike to a designated station within 2 hours after your rental began.

You are responsible for monitoring the time period of your rental.

We will recover Bikes that are overdue. We don’t want to be punitive and we trust that you will be fair to us and other riders. So, turn in the Bikes when your time is up and if you don’t, among other items we reserve the right to fine you and also NEVER rent to you again. Therefore, you agree to return the Bikes before the maximum rental time. If you have a Bike beyond the maximum rental time, you will be required to turn over the Bike to Red Bike Team members no questions asked.

7.  You are therefore accountable and liable for all time overage fees associated with your use and return of the Bike. Here is how Bike Rental Overage Charges are assessed:

For Annual Memberships, Monthly Memberships, and Day Passes:
(a) $5 for each additional hour after the initial 2 hours; and 
(b) maximum overage charge for a calendar day is $20, in addition to the membership fee. 

For Annual and Monthly Go Pass Members who pay with a credit card:
(a) $2 for each additional hour after the initial 2 hours; and 
(b) maximum overage charge for a calendar day is $8, in addition to the membership fee.

For Monthly Go Members who pay with cash: 
(a)	The maximum trip time is 2 hours (as stated above); and
(b)	If you ride over 2 hours, your membership will be automatically locked until, either
a.	You pay $2 for each additional hour after the initial 2 hours, up to a maximum calendar day overage charge of $8, or 
b.	You serve a membership suspension of 1 week or longer.

Upon return of the Bike, you will be charged, to your credit card, the accumulated overage fee. Any overage fees that do not process through the credit card on file, will cause the membership account to be locked and suspended until the fees are paid or otherwise resolved.

Also, if you fail to return a Bike within the maximum rental time to a designated station, the Bike will be considered stolen, and you will be charged a minimum of $50.00 plus any other applicable fees or penalties that may be appropriate. We reserve the right to increase this fee at any time. Bikes not returned within 72 hours will be charged a minimum of $1,200 (USD) for classic pedal-only Bikes or $2,500 for electric-assist Bikes.

8.  You may use the Bike only in the cities of Cincinnati, Ohio and Covington, Newport, and Bellevue, Kentucky (“Designated Areas”), and you will not, under any circumstances, remove the Bike from the Designated Areas.

9. You must follow all rules and laws pertaining to the use, riding and/or operation of the Bike, including all state and local laws and the rules and regulations pertaining to bicycles in the Designated Areas.

(a)	Don’t use the Bike for racing, mountain Bike riding, stunt, trick riding, or the like,
(b)	Don’t operate and/or use the Bike on unpaved roads, through water, or in any location that is prohibited, illegal, and/or a nuisance to others, and
(c)	Without a specific waiver from us, don’t use the Bike for hire or reward, or use it in violation of any law, ordinance, or regulation.

10. You cannot ride or operate the Bike if you are impaired as a result of your use of alcohol or illicit drugs (i.e., not otherwise prescribed to you by your doctor). 

11. Bikes are equipped with a front and sometimes side carrier/basket that is intended for light goods only, and it is not to be used to carry people or animals. Only one person may be on the Bike at a time. You may not under any circumstances transport a second person on the Bike.

12.  You will immediately report any Bike accident or a stolen or lost Bike to both Red Bike and to the police. In addition, stolen or lost membership cards must also be reported to Red Bike. 

As we stated earlier, but in a bit more detail here, you are responsible and liable for any accidents, misuse, consequences, claims, demands, causes of action, losses, liabilities, damages, injuries, costs and expenses, penalties, attorneys’ fees, judgments, suits, or disbursements of any kind or nature whatsoever related to accidents caused by You or incurred by You associated with your rental of the Bike or for any stolen or lost Bike and/or Red Bike Membership Card.

And, while the Bike may be equipped with cable locks, Red Bike is not responsible for any loss or damage to the Bike regardless of the circumstances (e.g., even if the Bikes are locked properly and are still stolen or damaged). You will pay and compensate Red Bike for (a) any destruction or loss of Bike and for any damage, including replacement parts, and (b) for any loss even if the damage was caused by someone else. All repairs needed as a result of any such damage will be performed at the normal labor rates. If the Bike is lost or damaged beyond repair, regardless of fault or cause, you will pay Red Bike the full replacement value of the Bike.

In sum, you need to return the Bike to Red Bike in the same condition that you received it. To that end, you will ensure that the Bike is always locked and secured when unattended. 

13.  You are responsible for any fines, fees, or tickets issued to you as a result of your use and access to the Bike including moving violations, fines, and/or illegal activity incurred by you. Red Bike is not responsible for your activities and disclaims all liability for your actions. You agree to pay all fines and/or court costs, including administrative fees, for violations assessed against you or Red Bike during your rental or use of the Bike. You will pay and reimburse Red Bike for any costs, expenses, and/or attorneys’ fees for processing, pursuing, and/or defending such claims. 

14. Red Bike provides no insurance to You under this Agreement and that means that Red Bike does not cover property damage, personal injury to You, injury to others, damages, penalties, losses, or costs associated with your rental and use of the Bike.   

15.  As a condition of your enjoyment, rental and use of the Bike, you release and discharge Red Bike, B-cycle, LLC, the cities of Cincinnati, Covington, Newport, and Bellevue, and all Red Bike Sponsors, as well as owners of property upon or near where the stations are located (“Released Parties”) from any and all claims, liability, cause(s) of action, damage or wrongful death, injury to yourself or any third parties, which arise out of, result from or relate to this Agreement, your rental, the maintenance, design, use, and/or operation of the Bike, the Red Bike program and the Red Bike website, including any and all claims, liability, cause(s) of action, and/or damages related to the sole or partial negligence of Released Parties and/or the negligence of others. 

YOUR RENTAL AND USE OF THE BIKE IS “AS IS” AND RED BIKE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO USE, OPERATION, MERCHANTABILIY, AND USE FOR A SPECIFIC PURPOSE. By accepting this Agreement, any such claims, rights, and causes of action that you (and, if applicable your Minor(s)) may have are hereby waived, released, and relinquished, and you (and your Minor(s), if applicable) do so on behalf of your heirs, executors, administrators, and assigns.

You will indemnify, release, and hold harmless Released Parties from all liability for any such property loss or damage, personal injury, or loss of life to You or others, whether caused by the sole or partial negligence of Red Bike or the negligence of others, whether based upon breach of contract, breach of warranty, active or passive negligence, or any other legal theory, in consideration for using and/or operating the Bike.

You will have no right to make a claim or file a lawsuit against Released Parties arising out of this Agreement, the rental, maintenance, design, use and/or operation of the Bike, the Red Bike program, or its website, in consideration for using and/or operating the Bike.

16. This Agreement is governed by the applicable laws of the State of Ohio and any action must take place in the State or Federal Courts of Hamilton County, Ohio. If any provision of this Agreement is found to be unenforceable, all other provisions will be given full force and effect.

17.  Rid Bike’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. No waiver by Red Bike shall be construed as a waiver of any proceeding or succeeding breach of any provision of this Agreement. 

18.  As is already very clear from this Agreement, there are real and inherent risks and liabilities associated with riding the Bike; therefore as a parent or guardian of individual riding a Bike who is a Minor (under 18 years old) then you HAVE TO represent and warrant to Red Bike that you are acting on behalf of the Minor and that you once again understand that the nature of bicycling activities are very risky and can cause severe injury or even death. Therefore, you are assuring Red Bike that the Minor has all the appropriate experience and capabilities to ride a Bike and that they are in good health and in proper physical condition to participate in such activity. 

To that end, you release, discharge, and promise not to sue Red Bike for any and all activities associated with Minor’s riding of the Bike. If you cannot make this promise, then don’t permit the Minor to ride a Bike – it is that simple.

You agree to indemnify and save and hold harmless each of the Released Parties from any and all liability, claims, demands, losses, damages, or even death to or on the Minor’s account or behalf that may be caused or alleged to be caused in whole or in part by the Minor even if such losses or damages may be caused or are alleged to be the result of Released Parties, including but not limited to negligent operations of any sort, and you further agree that if, despite this Agreement, the Minor or anyone on the Minor’s behalf may makes a claim against any of the Released Parties above that you will indemnify, save, and hold harmless each of the Released Parties from any litigation expenses, attorney fees, loss liability, damage, or cost that may be incurred as the result of any such claim.
 
19. You acknowledge that you have carefully read this Agreement, and, after careful consideration, you voluntarily give your consent and agree the terms of this Agreement.
